Board of Directors Meeting - December 14, 2011

President Weaver called the meeting to order at 7:03 pm central time and the members of th board recited the KCBS Mission and the Board Pledge.
MINUTES: Tana Shupe moves that the Board approve the Minutes of the meetings held on November 9, 2011 and the special meeting held on November 30, 2011. Seconded by Wayne Lohman, the minutes were approved as presented.
Financial Report: Mike Budai
The Finance Committee recommends adopting the attached financial reports sent to the board on December 9. Seconded by Tana Shupe, the financial reports were accepted as presented.

Mike McCloud also reported the following updates:
1. MMA is working w/Mike Budai and Gary Howard to integrate the new scoring system.
2. MMA has made significant progress with mobile apps. The Board will be seeing an on-line working proof of these, hopefully by January 1st.
3. Additional items to be discussed in closed session.
Gene Goycochea moved to go into executive session. Seconded by Paul Kirk the motion passed.

Additional updates from MMA Creative
The Board went back into open session at 8:20.
Wayne Lohiman moved that we accept the Smithfield contract. Seconded by Mark Simmons, motion passed unanimously.
Randy moved to accept the Sam's Club Schedule for 2012. Seconded by Mike Budai, motion passed unanimously.
CBJ Report: Mike Lake
The YTD report will follow this I am asking Karrin to send it directly from the office. No action needs to be taken, it is FYI. I will also be following up with a report that takes a closer look at these numbers. I will also bring you up to date on the web based continuing education and MCBJ testing programs. Total number of MCBJs to date is 101.
The following updated YTD judging classes report was sent to BOD: 63 classes - 2,838 Students - 847 KCBS Members - 1,974 New Members - 15 Media Comps. (Mike also reported that judging instructors not on the board will teleconference into a meeting on Sunday following the Board's Strategic Planning Session in February.
Program Committee Report: Mike Budai
Work on KCBScore is progressing. The 1st draft of the program should be ready for the committee to review this week. Work on the KCBS database interface to KCBScore is underway. Once any changes the committee determines are necessary have been completed, we will be able to start the testing phase. Once we start deploying KCBScore, due to the anticipated overlap with BQWin, it may become necessary to temporarily take down the TOY calculator on the KCBS website and put up a message that we are switching over to the new program. This is to insure the accuracy of the reported points during the transition.
Rules Committee Report: Randy Bigler
The Rules committee would like to make a motion to send an email blast to all KCBS members and post on the website the schedule of meetings that will be happening at the Annual Banquet. The schedule was not in the December Bullsheet. Seconded by Paul Kirk, the motion passed unanimously.
Randy sent the Board a revised comment card to discuss and made a motion to begin using the new comment cards in 2012. Seconded by Arlie Bragg, the motion passed unanimously.
Sanctioning Committee Report: Wayne Lohman
Included below is the latest information for the 2012 Sam's Club BBQ Tour. There have been several changes in the contest locations from the report sent last Thursday.
The Sanctioning Committee recommends approval of all new and existing contests listed in the December New/Change Request Report with the exception of the Sam's Club Des Moines, IA contest and the new Grandview, MO. We questioned the density of teams for both locations.
Due to the large number of contests listed, please contact me if you have any questions prior to the Board meeting.

The following contests were tabled pending additional follow-up: Hamlet, NC; Columbus, GA; Belton, MO. Wayne Lohman made a motion to accept all others as presented. Seconded by Tana Shupe, the motion passed with one abstention.
Rep Committee: Mark Simmons & Randy Bigler
The contest rep chair, co-chair, rep committee and BOD extends to all the friends and family of Jim Monihan our deepest sympathy and condolences for his recent sudden passing. He will be greatly missed and warmly remembered as one of our outstanding KCBS contest representatives.
I propose that the nominees questions/answers and photos be posted on a web page on the KCBS.us site during the election period. A link to that page could be used along with member election notice e-blasts. Although Carolyn Wells reported that this info normally goes on the website, Randy Bigler made a motion making the above proposal official. Seconded by Tana Shupe, the motion passed.
I would also like to discuss the banner that is hung by the reps at contest for turn-in location. For the present time, there will be no changes to the banner.
Education Committee: Paul Kirk

Philanthropy Committee: Arlie Bragg
Preparing to run the applications in The Bullsheet for all Grants and Grants in Aid. Motion to email blast all members about the Grants and Grants in Aid. Also request that we receive a foundation report.
Membership Report: Gene Goycochea
Membership has increased by approx. 60% over the past 3 years (huge growth) this is an average of 20% per year. Looking forward to next year! Gene also gave an updated report regarding Annual Meeting Banquet.
Technology Report: Don Harwell
Web: Created MP3 files of the November regular and special meetings for posting on our web site.
President's End-of-Year Items for Resolution:
Having thoroughly reviewed minutes of past meetings, President Weaver made note of the following issues that have not been resolved over the course of the year. Motions were proposed to get the discussion flowing.
President Weaver made a motion that we identify barbeque cook teams for Team of the Year purposes by a single chief cook member number filed with the KCBS office at the start of the cook year. That chief cook must be present at a contest for that team to receive points for ToY. In the event of the chief cook not being present at a particular contest due to an emergency situation, that chief cook must present a valid and documented reason to the Rules Committee for ruling as to whether the reason justifies awarding ToY points to the team at the discretion of the Board. Seconded by Don Harwell, the motion passed unanimously.
President Weaver asked that the Marketing Committee establish a price structure for sending emails to members.
It was reported that an opt-out statement is displayed at the bottom of emails sent to the membership.
The Marketing Committee will pursue resolution for art relating to a pin design for 4-1st places at a single contest, a logo for MCBJs who reach 100+ contests judged and a logo for the KCBS Pit Master program.
The KCBS office has discontinued tracking state championships for the major invitational contests. The Board also issued a reminder to remove payout amounts from website.
Don Harwell: I motion that the following be added to the January 2012 BOD general election:
Membership to vote for:
Vote 1: Adding to the bylaws that: A Member of the Corporation is not eligible to seek election for Director of the Corporation if the member shares a physical address with any current Director of the Corporation.
Vote 2: Adding to the bylaws that 6 directors of the BOD will be from six regions and that the attached document be accepted as the regional breakout of the six regions to be placed on January 2012 BOD general election.
Vote 3: Changing the following sentence in the bylaws to read: .... the Directors be limited to two consecutive three-year terms, after which one year a three (3) year period must lapse before a Member is eligible for another term(s).
After lengthy discussion regarding the reworking of a regional board representation addendum to Bylaws for vote of members in January 2012, Mike Budai made a motion to call for the vote. Seconded by Paul Kirk, the motion passed with 19 ayes and one nay.
Randy Bigler made a motion to table Option 2 (above) for additional work and consideration on the breakdown of the regions. Seconded by Mark Simmons, a roll call vote was requested. Votes were as follows: Harwell-N, Bragg-A, Shupe-Y, Lohman-Y, Simmons-Y, Budai-Y, Bigler-Y, Kirk-Y, Lake-Y, Goycochea-N, Whitebook-Absent. Motion passed with 7 ayes, 2 nays, 1 abstention, and 1 absent.
Candy Weaver: Per motion made and unanimously passed on March 9, 2011, committee chair persons must submit to the Board all members serving on their respective committees. The executive director and the president are de facto members of every committee and must be informed of every committee meeting.
President Weaver made a motion that each committee chairperson has the absolute freedom at any time to choose any KCBS member in good standing to serve (or not serve) on their particular committee. The Board may not force any committee chairperson to add a member to any committee by motion or any other method. Seconded by Paul Kirk,. Paul called for the vote, ayes were unanimous. President Weaver's motion was seconded by Mike Budai. Ayes were 9, nays 1. Motion passed.
At 10:30 p.m., Paul Kirk moved to adjourn the meeting. Seconded by Tana Shupe, ayes were unanimous and the meeting was adjourned.
