Bylaws Amendments Call For Election

 
Whereas, The Kansas City Barbeque Society (KCBS) is organized exclusively for the promotion of social welfare within the meaning of Section 501(c) (4) of the Internal Revenue Code of 1986, as amended or the corresponding section of any future federal tax code (the “Code”).  The Corporation’s purposes shall include, but not be limited to, preserving, celebrating, promoting, and educating the public about barbecue as a distinctively American cuisine that is a part of the American culture, and

Whereas, KCBS is controlled by all applicable Missouri Non-Profit Laws, The Kansas City Barbeque Society Articles of Incorporation and Kansas City Barbeque Society Bylaws, and

Whereas, The KCBS  Bylaws were last Reviewed and Amended in 2012, and

Whereas, The KCBS Board of Directors recognizes that the Bylaws ground the organization and support oversight of current and future performance, and

Whereas, Effective bylaws allow the organization to adapt flexibly to changing circumstances and should be reviewed periodically as a responsibility of the Board of Directors, and

Whereas, THE KCBS Board of Directors and its Bylaws Workgroup have spent extensive time reviewing and revising the proposed Amendments, and

Whereas, KCBS has hired legal counsel to review, revise and confirm that all proposed amendments are in compliance with Missouri Law, The Internal Revenue Service, and the KCBS Articles of Incorporation, and

Whereas, These Bylaws may be amended and adopted under the provisions of Article XVIII of the KCBS Bylaws and in accordance with Missouri Statute 355.116 and by the affirmative vote of two-thirds of all approved Members who voted in a General or Special election with the Bylaws amendment on the ballot, and

Whereas, The proposed Bylaws Amendments must be provided to all Members entitled to vote in writing at least one month prior to the voting period and must be published in the official publication of the organization at least thirty days prior to the beginning of the voting period, and

Resolved, The KCBS, Board of Directors calls for the Publishing of the Proposed Amendments in the November 2024 edition of the Official Publication known as The Bullsheet.

Resolved, KCBS Calls for Election of the Proposed Amendments beginning on December 26, 2024 12:00 am and ending on January 9th, 2025 at 11:59 pm.

Resolved,  the results will be certified and announced via the KCBS Website by 12:00 pm Noon on January 11, 2025.

Resolved, that all adopted amendments approved in  accordance with Article XVIII of the KCBS Bylaws and Missouri Statute 355.116 shall become in full force and effect on the date and time announced on January 11, 2025.

Be it further Resolved, The KCBS Board of Directors deems these proposed amendments to be in the best interests of the Corporation and recommends adoption of all proposed amendments.
